Appointment of a Supervisory Board Member

The Management Board of ATM S.A. with its registered office in Warsaw announces that on 23 May 2012 the Ordinary General Meeting of Shareholders adopted a resolution on appointing Mr Roman Szwed as Member of the ATM S.A. Supervisory Board.
Mr Roman Szwed was born in Warsaw in 1952. In 1976, he graduated from the Faculty of Physics, University of Warsaw, where in 1980 he received a doctorate in experimental physics, and in 1990 qualified as a university professor in high energy physics. He has a track record of significant scientific achievements, including dozens of publications on high energy nuclear physics. He has received many vice-chancellor’s awards as well as awards of the Ministry of National Education. He has managed the Computer Centre of the Faculty of Physics at the University of Warsaw, as well as the grant under which the Faculty of Physics was equipped with pioneering IT and networking solutions. In August 1991, a team from the Computer Centre of the Faculty of Physics under the leadership of Roman Szwed made the historical connection of Poland to the global Internet.
Mr Roman Szwed has worked in the IT sector for over 20 years. He has been with ATM S.A. since the end of 1991, first as Director of the Advanced Computer Systems Department, and from January 1994 until the end of April 2012 as President of the Management Board. In 2004, the Company made its debut on the Warsaw Stock Exchange, and in 2006 it began to create its capital group, offering advanced solutions in the areas of telecommunications, systems integration and software. Throughout his career, Mr Roman Szwed has been awarded numerous prizes and awards for his activities. Currently, he is member of the Polish Chamber of Information Technology and Telecommunications, the Polish Chamber of Commerce for Advanced Technology and the Board of Science of the Institute of Communications.

According to his declaration, the newly appointed member of the Supervisory Board is not engaged in competitive business towards the Company and does not participate as partner in a competitive partnership or civil law partnership, nor is a member of the authorities of a company or any other competitive legal person. As stated in the declaration, he has not been entered in the Register of Insolvent Debtors maintained under the National Court Register Act either.
