Appointment of a Supervisory Board Member

The Management Board of ATM S.A. with its registered office in Warsaw announces that on 8 April 2013 the Extraordinary General Meeting of Shareholders adopted a resolution on appointing Mr Marcin Wysocki as Member of the ATM S.A. Supervisory Board.

Mr Marcin Wysocki, born in 1973, graduated from the Faculty of Finance and Banking at Warsaw School of Economics. In 1995–2003 he performed analytic and management functions at ABB Financial Services, AIG Capital Partners, and Advent International. During that time he worked in Warsaw, Franfurkt, Zurich na London. Also, he conducted risk management classes within the ABB MBA program.

In 2003–2006 Mr Marcin Wysocki established and was a partner at Tar Heel Capital, a venture capital fund. At that time he held functions of President of the Management Board as well as President of the Supervisory Board of Radpol SA, among others. In 2006–2011 Mr Marcin Wysocki was a member of authorities of such public companies as Travelplanet.pl, COMP Safe Support SA, Novitus SA, Novita SA and Zakłady Lentex SA.

At present Mr Marcin Wysocki is Advisory Committee Member of Giza Polish Ventures fund.

According to his declaration, the newly appointed member of the Supervisory Board is not engaged in competitive business towards the Company and does not participate as partner in a competitive partnership or civil law partnership, nor is a member of the authorities of a company or any other competitive legal person. As stated in the declaration, he has not been entered in the Register of Insolvent Debtors maintained under the National Court Register Act either.

Also, according to his declaration, Mr Marcin Wysocki meets conditions of an independent supervisory board member specified in the Company Charter as well as in Best Practicies of WSE Listed Companies (Rule No. 6 pt. III).
