Legal basis: Article 56 (1) item 2 of Public Offering Act — current and periodical information

The Management Board of ATM S.A. (the Company) gives notice that an Extraordinary General Meeting of Shareholders of the Company today dismissed Mr. Tomasz Tuchołka from the Supervisory Board. The resolution of the Extraordinary General Meeting took immediate effect after being adopted.

The Company’s Management Board further gives notice that the Extraordinary General Meeting of Shareholders of the Company today appointed Mr. Tadeusz Czichon to the Supervisory Board.

Mr. Tadeusz Czichon’s résumé is provided below.

Tadeusz Czichon
Mr. Tadeusz Czichon is a co-founder of ATM S.A. and its largest shareholder (through ATP FIZAN). He graduated from the Electronics Faculty of Warsaw University of Technology with the degree of Doctor of Engineering, specializing in Automatic Systems and Information Technology. In 1986–1988 he worked as section manager in the IT Department of LOT Polish Airlines, and in 1987–1989 he became a co-founder and management board member of the company TTM Systemy Komputerowe i Elektronika Sp. z o.o. In 1989–2011 he was the founder and General Manager of the manufacturing firm ATM S.C., which was transformed into the general partnership A. Chalimoniuk and Partners. In 2001–2013 he became co-founder and CEO of ATM PP Sp. z o.o., and at present he is Vice-President of that company. From 1994 he was the co-founder and Vice-President of the company ATM Sp. z o.o., which in 1997 became ATM S.A., and from November 6, 2014 to November 30, 2015 he was its President.

Mr. Tadeusz Czichon has submitted declarations to the effect that:

He does not conduct activity which is competitive with respect to the Company, and is not a partner in any competing partnership or a member of a controlling body of a company or any other competing corporation, with the exception of his role as a member of the supervisory board of Linx Telecommunications B.V., which is an affiliated company of ATM S.A. and conducts similar activity to ATM S.A.;
According to his best knowledge and discernment he does not appear in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register;
He does not satisfy the criteria for an independent member of the Supervisory Board of ATM S.A., laid down in the Company’s Articles of Association, because he is affiliated with the ATP FIZAN investment fund, a significant shareholder of ATM S.A., in which he holds a majority of the investment certificates.
